Beyond KSO: Designing Fit-for-Purpose Cooperation Governance for Agrinas Palma Nusantara’s State-Entrusted Oil Palm Assets

Indonesia's reorganisation of state-entrusted oil palm assets has created an unusual governance problem: large, heterogeneous plantation portfolios must remain operational and productive while their legal status, infrastructure, managerial capability, community relations and environmental exposure are being normalised. This qualitative narrative-integrative literature review examines how PT Agrinas Palma Nusantara (Agrinas) can redesign cooperation and joint-operation arrangements for such assets. The analysis combines recent peer-reviewed literature published since 2020 with Agrinas' 2025 Annual Report, its 2026 corporate disclosures, and the June 2026 circular that temporarily suspended local SPK/KSO arrangements pending evaluation and central approval. The review develops a Cooperation-Governance Fit and Additionality (CGFA) framework that links asset readiness, strategic necessity, partner integrity, governance-form fit, economic and risk allocation, operating transparency, and renewal or exit. The findings reject a binary choice between KSO and vendor contracting. Standardised and measurable tasks are generally suited to competitive vendor contracts, whereas high-interdependence activities may justify management agreements, tolling, selective KSO, joint ventures or cooperative partnerships when they create demonstrable incremental value. The article proposes central policy with delegated execution, modular contract families, digital contract and performance monitoring, counterfactual additionality tests and stage-gated portfolio management. The central policy implication is that cooperation should be treated as a governance portfolio rather than a collection of agreements, so that state-entrusted assets generate productive, competitive, inclusive and environmentally safeguarded public value.
